By using Echolyt (the "Service"), you agree to these Terms of Service on behalf of your organization. If you do not have authority to bind your organization, do not use the Service.
2. The Service
Echolyt is a B2B market voice and opinion insight platform: we analyze public market content collected for your workspace and provide analysis, alerts and follow-up through the web application and the integrations you enable. Availability targets and specific product commitments are set out in your Order Form.
3. Accounts
The Service is currently invite-only. Accounts are provisioned by our team; there is no self-service sign-up. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.
4. Acceptable use
You agree not to:
- Reverse-engineer or attempt to extract source code.
- Use the Service to build a competing product.
- Ingest content in ways that violate a source platform's terms of service or applicable law.
- Upload personal data of individuals in a manner that violates their privacy or applicable law.
- Circumvent rate limits, quotas or access controls.
5. Fees and billing
Fees, currency and billing period are set out in your Order Form. All fees are non-refundable except as required by law or expressly stated in your Order Form.
6. Customer data
You retain all rights to data you or your users upload into the Service (Customer Data). You grant Echolyt a limited license to process Customer Data solely to operate the Service for you. We process personal data as described in our Privacy Policy.
7. Confidentiality
Each party will protect the other's confidential information with at least the same care it uses for its own confidential information.
8. Warranties & disclaimers
The Service is provided "as is". We disclaim all implied warranties to the fullest extent permitted by law.
9. Limitation of liability
Neither party will be liable for indirect, incidental, special or consequential damages. Each party's aggregate liability under these Terms will not exceed the fees paid to Echolyt in the twelve (12) months preceding the claim.
10. Indemnification
Each party will defend and indemnify the other against third-party claims arising from its breach of these Terms, subject to prompt notice and cooperation.
11. Termination
Either party may terminate for material uncured breach after 30 days' written notice. You may cancel any time from your account, effective at the end of the current billing period.
12. Governing law
These Terms are governed by the laws of the jurisdiction stated in your Order Form, or Delaware (USA) by default.
13. Changes
We may update these Terms as the product and our business evolve. For material changes we will notify Enterprise customers at least 30 days in advance via email.
